By accessing or using Heurivon ("Service", "Platform", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using Heurivon on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.
Heurivon is an AI assistant for persistent goal management, autonomous task execution, and integration with third-party platforms including Google Calendar, Google Drive, Google Sheets, Google Docs, Google Slides, email via IMAP/SMTP, GitHub, Slack, Telegram, QuickBooks Online, Shopify, HubSpot CRM, and external AI providers. The Service uses large language models (LLMs) to generate responses, summarize information, schedule events, draft and send emails through your own email account, manage CRM records, and perform other tasks on your behalf based on instructions you provide.
You must be at least 18 years of age and capable of forming a binding contract to use the Service. By using Heurivon, you represent and warrant that you meet these requirements. The Service is not directed at children under 13, and we do not knowingly collect personal data from children.
Access to Heurivon requires authentication via a magic link sent to your email address or, where available, Google OAuth 2.0. By connecting your Google account, you authorize Heurivon to access certain Google services (including Google Calendar, Google Drive, Google Sheets, Google Docs, and Google Slides) in accordance with the scopes you approve at sign-in. Heurivon does not request access to Gmail. Email features use IMAP and SMTP with credentials you supply separately. You are responsible for maintaining the security of your account and for all activity under your account. You must notify us immediately of any unauthorized access.
You may use the Service only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy. You agree not to use the Service to: (a) violate any applicable law or regulation; (b) transmit harmful, illegal, or abusive content; (c) attempt to circumvent security measures; (d) use automated means to access the Service beyond what is expressly permitted; or (e) resell or sublicense access to the Service without written permission.
The Service uses artificial intelligence to generate responses, suggestions, and task outputs. AI-generated content may be inaccurate, incomplete, or inappropriate for your specific circumstances. You are solely responsible for reviewing, verifying, and deciding whether to act on any AI-generated output. Heurivon is not liable for decisions you make based on AI-generated content. You retain ownership of your inputs and outputs, subject to the licenses granted in these Terms.
Heurivon maintains a persistent memory store of facts, preferences, and context derived from your conversations ("Memory"). This Memory is used to personalize responses and improve task execution. You can view, edit, and delete Memory content at any time via the Settings page. By using the Service, you grant us a limited license to store and process your data as described in our Privacy Policy.
The Service integrates with third-party platforms (Google, OpenAI, GitHub, Slack, HubSpot, Intuit, Shopify, and others) that have their own terms and privacy policies. Your use of those integrations is subject to the respective third-party terms. We are not responsible for the practices of third-party services. When you provide API keys for third-party providers ("BYOK"), you assume full responsibility for any costs and usage associated with those keys.
During the current Open Beta period, no subscription fees are charged. Heurivon subsidizes non-AI infrastructure costs for active beta participants. You are responsible only for the costs of AI API usage incurred through your own API keys (BYOK), billed directly by your AI provider. Full terms governing the Open Beta, the runtime subsidy, and any future transition to paid features are set out in our Billing & Refund Policy, which is incorporated into these Terms by reference.
The Heurivon platform, its design, code, and branding are owned by us and protected by applicable intellectual property laws. You retain ownership of content you create using the Service. You grant us a worldwide, non-exclusive, royalty-free license to process your content solely to provide and improve the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
WITHOUT LIMITING THE FOREGOING:
(a) WE MAKE NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
(b) WE MAKE NO WARRANTY REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR FITNESS FOR ANY PARTICULAR PURPOSE OF ANY AI-GENERATED CONTENT, RESPONSE, RECOMMENDATION, OR OUTPUT PRODUCED BY THE SERVICE. ARTIFICIAL INTELLIGENCE MODELS ARE PROBABILISTIC AND MAY PRODUCE INCORRECT, OUTDATED, BIASED, MISLEADING, OR ENTIRELY FABRICATED OUTPUTS ("HALLUCINATIONS").
(c) WE ACCEPT NO RESPONSIBILITY FOR AI MALFUNCTIONS, UNEXPECTED AI BEHAVIOR, ERRORS IN AI REASONING, FAILURES OF THIRD-PARTY AI MODELS (INCLUDING BUT NOT LIMITED TO OPENAI, ANTHROPIC, MISTRAL AI, AND GROQ MODELS), OR ANY OTHER FAILURE MODE OF ARTIFICIAL INTELLIGENCE SYSTEMS.
(d) WE DO NOT WARRANT THAT THE SERVICE IS FREE FROM BUGS, VIRUSES, OR HARMFUL COMPONENTS. YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF THE SERVICE.
YOU ACKNOWLEDGE THAT AI-GENERATED CONTENT IS NOT A SUBSTITUTE FOR PROFESSIONAL LEGAL, MEDICAL, FINANCIAL, REGULATORY, OR OTHER EXPERT ADVICE, AND YOU SHOULD NOT RELY ON IT AS SUCH.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) IN NO EVENT SHALL HEURIVON, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) WE SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR COSTS ARISING FROM: (i) AI-GENERATED CONTENT THAT IS INACCURATE, INCOMPLETE, MISLEADING, OR OTHERWISE UNSUITABLE FOR YOUR PURPOSES; (ii) ACTIONS TAKEN BY AUTONOMOUS AI AGENTS ON YOUR BEHALF, WHETHER OR NOT YOU AUTHORIZED THOSE SPECIFIC ACTIONS; (iii) AI HALLUCINATIONS, UNEXPECTED AI BEHAVIOR, OR ERRORS PRODUCED BY ANY UNDERLYING AI MODEL OR THIRD-PARTY AI PROVIDER; (iv) BUGS, ERRORS, OR DEFECTS IN THE SERVICE OF ANY KIND; (v) ANY RELIANCE YOU PLACE ON AI-GENERATED OUTPUT FOR DECISIONS RELATED TO LEGAL, MEDICAL, FINANCIAL, SAFETY-CRITICAL, OR ANY OTHER MATTER.
(c) YOU ARE SOLELY RESPONSIBLE FOR ALL DECISIONS AND ACTIONS YOU TAKE IN RELIANCE ON AI-GENERATED OUTPUT. HEURIVON PROVIDES AI ASSISTANCE AS A TOOL ONLY; THE ULTIMATE JUDGMENT, VERIFICATION, AND RESPONSIBILITY FOR ALL DECISIONS RESTS WITH YOU.
(d) OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (i) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM OR (ii) USD $100.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN FULL.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law provisions. Any dispute arising under these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA) Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.
We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

**Program Overview.** Heurivon is currently operating an Open Beta limited to 1,000 active participants. Admission is subject to a qualification process; signing up does not guarantee immediate admission. These Terms apply to all beta participants.
**Activity Requirement.** To remain an active beta participant, you must log in to the Service at least once every seven (7) consecutive days. Failure to meet this requirement may result in automatic revocation of your beta status and suspension of your account. Heurivon will send advance warning by email before revocation occurs.
**Slot Availability During Open Beta.** If your beta status is revoked for inactivity during the Open Beta period, your slot becomes available to other qualified applicants on the waitlist.
**When the Open Beta Ends.** Once the Open Beta period is officially closed, the active participant list is frozen. Participants who become inactive after the Open Beta ends do not free up slots for other users. The end of the Open Beta will be announced via email and in-app notice at least 14 days in advance.
**Runtime Subsidy for Beta Graduates.** Active participants who retain their status when the Open Beta officially closes will continue to receive subsidized non-AI runtime access for as long as Heurivon continues to operate the Service — as a permanent thank-you for their contribution to building Heurivon. This subsidy commitment continues for the duration of Heurivon's operation of the Service. If Heurivon ceases operations or discontinues the Service, this commitment ceases with it. It is not a perpetual or irrevocable guarantee independent of the Service's continued existence.
